These terms set out the general conditions for accepting Hyperspend vouchers. They apply together with the individual merchant agreement signed with each merchant. If the two differ, the merchant agreement applies.
1. The parties
Hyperspend is a brand of BigeDirect ApS (CVR 43762125), Nannasgade 28, st., 2200 København N, Denmark ("Hyperspend", "we"). "Merchant" or "you" means the business that has signed a merchant agreement with us.
2. Joining the Hyperspend partner network
- To accept Hyperspend you must apply, complete our KYB and due diligence checks, and sign a merchant agreement.
- We decide at our discretion whether to accept an application.
- Once live, your business and website are listed on our public Check merchant page. Being listed is what makes you part of the Hyperspend partner network. You may only accept Hyperspend on the websites and services named in your merchant agreement.
3. Accepting vouchers
- You accept vouchers only through the Hyperspend redemption API, using the credentials we issue to you. Keep these credentials secure and tell us immediately if they may have been compromised.
- A redemption is confirmed only when the API returns a successful response. Do not deliver goods or credit before that.
- Vouchers are single use: each redemption uses the full value of the voucher. You must credit the full voucher value to the customer, for example as balance on their account with you, even if they spend less in that transaction.
- You must not accept Hyperspend for goods or services that are illegal, or that are excluded in your merchant agreement.
- You must not charge customers an extra fee for paying with Hyperspend, unless your merchant agreement allows it.
4. Finality and chargebacks
Redemptions confirmed by the API are final. Hyperspend does not raise chargebacks against merchants for confirmed redemptions, except where a redemption was fraudulent on your side or breached these terms or your merchant agreement.
Disputes about the goods or services you supply are between you and your customer, and you handle them under your own terms and applicable consumer law.
5. Fees and settlement
- You pay a fixed fee and a percentage fee on each redemption, plus a settlement fee, as set out in your merchant agreement.
- We settle the value of confirmed redemptions, less fees, to your nominated bank account on the schedule and in the currency set out in your merchant agreement.
- We provide statements of redemptions and fees through the merchant portal.
6. Use of the Hyperspend brand
You may use the Hyperspend name and logo only to show that you accept Hyperspend, following our brand guidelines. You must not describe Hyperspend as accepted everywhere, as cash, or as a general-purpose payment method.
7. Compliance
You must comply with all laws that apply to your business, including consumer protection, anti-money-laundering, sanctions and data protection law. You must tell us promptly about any change to your business, ownership or the information you gave us during onboarding.
8. Data protection
Each party is an independent controller of the personal data it processes. We share with you only the data needed to process redemptions.
9. Suspension and termination
- We may suspend your access to the API, or remove you from the merchant list, if we reasonably suspect fraud, a breach of these terms or of law, or if required by a regulator.
- Either party may end the merchant agreement on the notice period it sets out. On termination we remove you from the merchant list and settle any amounts due.
10. Liability
Neither party is liable for indirect or consequential losses. Each party's total liability is limited as set out in the merchant agreement. Nothing limits liability that cannot be limited by law.
11. Changes
We may change these terms with at least 30 days' notice by email. If you don't agree to a change, you may end the merchant agreement before it takes effect.
12. Governing law
These terms and the merchant agreement are governed by Danish law. Disputes are settled by the Danish courts, with the Copenhagen City Court (Københavns Byret) as the court of first instance.
